End User Agreement

This End User Agreement ("Agreement") is between SimpleSIGN GTA ("SimpleSIGN", "we", "us") and you, the customer or user ("you"), and governs your use of simplesigngta.ca, our client portal, and our integration with QuickBooks Online. By using our website, portal or integration, you agree to this Agreement.

Our Services

SimpleSIGN provides commercial signage services in the Greater Toronto Area, including quoting, design, production, installation, permitting support and removal. We also offer online tools such as instant quotes, a client portal for design approval and project tracking, and an integration with QuickBooks Online for invoicing and payment records.

    QuickBooks Integration

    SimpleSIGN maintains a connection to its own QuickBooks Online account, which we use to create and manage customer and invoice records related to your SimpleSIGN projects, as described in our Privacy Policy. This connection is set up and controlled by SimpleSIGN — you do not authorize or connect your own QuickBooks account, and there is nothing on your end to revoke.

      Your Responsibilities

      • Provide accurate, complete and current information.
      • Keep your login credentials confidential and notify us of any unauthorized use.
      • Use the services only for lawful purposes, and only with data you are authorized to share.
      • Review and approve design proofs; approved proofs are considered final, and errors in customer-approved content are your responsibility.
      • Comply with applicable permit, zoning and site-access requirements for your sign.

      Orders, Pricing and Payment

      Quotes, pricing, timelines (including design proof and installation targets) and payment terms are set out in your quote, order or invoice. Installation timelines depend on design approval, permits and utility locates being cleared. Overdue amounts may be subject to interest as stated on your invoice.

      Intellectual Property

      The website, portal, and our materials belong to SimpleSIGN or its licensors. We grant you a limited, non-exclusive, non-transferable right to use them for your own business needs. You retain ownership of your logos and content and grant us permission to use them to produce your signage. You confirm you have the rights to any artwork or content you provide.

      Data and Privacy

      Our handling of personal and QuickBooks data is described in our Privacy Policy, which forms part of this Agreement. We do not sell your data.

      Disclaimers

      Our website, portal and integration are provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, or that data synced with QuickBooks will always be complete or timely. You should review financial records in QuickBooks for accuracy.

      Limitation of Liability

      To the maximum extent permitted by law, SimpleSIGN is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our total liability for any claim relating to the services is limited to the amount you paid us for the services giving rise to the claim. Nothing in this Agreement excludes liability that cannot be excluded by law.

      Termination

      You may stop using our services or disconnect QuickBooks at any time. We may suspend or terminate your access if you breach this Agreement or misuse the services. Sections that by nature should survive termination (including 5, 7, 8 and 10) will survive.

      Governing Law

      This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. Disputes will be handled in the courts of Ontario.
